Stoutridge Terms and Conditions
Please read the following carefully.
Welcome to the Stoutridge community. To help you make the most of your membership and our website please take a few minutes to familiarize yourself with all the policies regarding your membership. There is no fee to join Stoutridge Select and you may sign up anytime online, via phone or by visiting the tasting room. YOUR STOUTRIDGE SELECT MEMBERSHIP WILL WILL CONTINUE UNTIL CANCELLATION. You must be 21 years of age or older to become a Stoutridge Select member, make a purchase, or use our sites.

These policies apply to users and customers of Stoutridge. By using our website, making a reservation, completing a membership application, or executing a purchase from our online shopping cart you acknowledge and agree that you have read these Terms and Conditions (the ‘Terms’), understand them, and agree to be legally bound by them.

Your acceptance of these Terms creates a binding contract governing the terms of your membership in the Stoutridge Select Membership program (‘Membership’), the use of our website, use of our reservation system and/or placing an order for pick-up using our online shopping cart (‘Your Order’) and no other statements, representations, materials or related information will alter or amend these Terms, except as referenced in these Terms and such revisions to these Terms instituted by Stoutridge in accordance with these Terms. Stoutridge’s Terms of Use governing your access and use of Stoutridge’s websites, mobile applications, and other products and services are also incorporated into these Terms.
Becoming a Member: Only individuals aged 21 years or over are eligible to enroll as members. Corporations, businesses, or other organizations are NOT ELIGIBLE for membership. Only one person can be enrolled per Membership and member benefits are non-transferable. There is no fee to join Stoutridge Select. You may join at any time by registering in the tasting room, via phone or on the Stoutridge website. To maintain your Membership, you agree to accept a curated selection of products, consistent with your membership level, each quarter (approximately February, May, August, and November). MEMBERS AUTHORIZE STOUTRIDGE TO CHARGE THE CREDIT CARD ON FILE FOUR TIMES PER YEAR FOR THE RETAIL VALUE OF THE SELECTED CURATED COLLECTION (LESS THE MEMBERSHIP DISCOUNT, PLUS TAX) ADJUSTED FOR ANY CHANGES MADE BY THE MEMBER VIA THEIR ONLINE ACCOUNT TO VOLUME AND/OR PRODUCT MIX.
Membership Benefits: Subject to such limitations and exceptions as applicable, including as otherwise set forth in these Terms, Select Members are entitled to receive the quarterly curated collection (the ‘Collection’) and additional Select Membership benefits as provided from time to time by Stoutridge. The member benefits are presented in more detail on the Stoutridge Select Benefits page available under the Membership tab located at stoutridge.com. Notwithstanding anything published to the contrary with respect to Membership benefits, not all membership benefits are the same for all members, and some special promotional offers, benefits and communications may be based on geographic location, Membership participation, information supplied by the member or the volume or type of purchases made by a member. You must identify yourself as a Member, either by logging into an on-line account or stating such when purchasing from the tasting room, to assure accurate tracking of your membership benefits. To be eligible for membership benefits your account must be active and in good standing. Abuse of Membership by failing to follow the Terms or improper conduct as determined by Stoutridge at its sole discretion may result in termination of your membership and disqualify you from future Membership participation. In the event of any issues or discrepancies regarding membership benefits, Stoutridge must be notified within 90 days of your original transaction by calling +1 (845) 236-7620 or sending a message to sales@stoutridge.com.
Notifications and Billing: You understand that Stoutridge’s main form of communication with members and customers is via the email address provided at the time of registration and/or purchase. It is your responsibility to notify Stoutridge of any change to your personal information which includes, but is not limited to email address, telephone number, credit card information and shipping address. Members will receive an email approximately two (2) weeks prior to each quarterly selection that describes the curated collection. At that time, you will have the opportunity to login to your account to ‘swap’ individual items for other products or to add to your selection. On the date provided in the email or at the time you complete a purchase via the online shopping cart, your credit card will be charged for your selections and your order will be available for pick-up at the tasting room (10 Ann Kaley Lane, Marlboro, NY 12542). The specific amount charged is completely dependent on the products selected. AT THIS TIME SHIPPING IS NOT AVAILABLE AND ALL ORDERS MUST BE PICKED-UP AT THE TASTING ROOM, DURING OUR REGULAR BUSINESS HOURS, WITHIN 45 DAYS UNLESS PRIOR ARRANGEMENTS ARE MADE AND CONFIRMED BY EMAIL. Many of the items in the curated collection are of limited availability. If you fail to pick-up your order or quarterly selection within 45 days, we do not guarantee that the specific products in your order will be available at the time of pick-up. If a product is no longer available at the time of pick-up, we will replace it with a product of equal value.
Purchases: All purchases made in-person, as part of the Membership program or via the online shopping cart are FOR PERSONAL CONSUMPTION ONLY AND MAY NOT BE RESOLD. We reserve the right to refuse certain orders. If we suspect fraud, abuse, or other reasons, orders may be canceled without notice. We may cancel orders placed for products listed at an incorrect price or containing incorrect information or typographical errors.
Holds and Cancellations: You may place your membership ‘on hold’ for one shipment per calendar year with a written notice to sales@stoutridge.com within 7 days of receiving the quarterly membership notification. Please note that a hold on your membership also suspends all benefits for that quarter. Requests to cancel your membership without penalty can be made via email to sales@stoutridge.com or written letter to 10 Ann Kaley Lane, Marlboro, NY 12542 after you have received four (4) quarterly Collections and up to 7 days after receiving a quarterly membership notification. Any requests for cancellations made prior to receiving four quarterly Collections will incur a $50 early cancellation fee.
Unavoidable Delay: In the event of any circumstances outside of the control of Stoutridge and which prevent, hinder or delay Stoutridge from performing its obligations including but not limited to acts of God, earthquake, flood, severe weather conditions, or other natural calamity, disease outbreaks, epidemics or pandemics, strikes, insurrection or acts of terror, governmental action or inaction, including delays or failure to issue permits and authorizations or an inability to obtain supply and materials or means of shipping, Stoutridge’s obligations will be suspended for the term of such event or Stoutridge may elect to cancel the Stoutridge Select program or memberships for the affected members.
Pick-up and Shipping: AT THIS TIME SHIPPING IS NOT AVAILABLE AND ALL ORDERS MUST BE PICKED-UP AT THE TASTING ROOM (10 ANN KALEY LANE, MARLBORO, NY 12542), DURING OUR NORMAL BUSINESS HOURS (AS POSTED ON STOUTRIDGE.COM), WITHIN 45 DAYS UNLESS PRIOR ARRANGEMENTS ARE MADE AND CONFIRMED BY EMAIL. Many of our products are of limited availability. If you fail to pick-up your order or quarterly selection within 45 days, we do not guarantee that the specific products in your order will be available at the time of pick-up. If a product is no longer available at the time of pick-up, we will replace it with a product of equal value.
Personal Information: Stoutridge respects your privacy. All personal information collected will be kept strictly confidential and will not be sold, rented, disclosed, or loaned. The details of our privacy policy can be found on our website stoutridge.com.
Intellectual Property: Unless otherwise specified, all materials appearing on our website and communications, including text, design, logos, graphics, icons, images, and video are the sole property of Stoutridge. These and other forms of intellectual property may not be displayed, reproduced, published, distributed, modified, transmitted, used to create derivative works, or otherwise used for public or commercial purposes without written permission from Stoutridge. This prohibition includes without limitation the publication of any part of this content on any other Web site, selling or offering it for sale, or using it to create any kind of database.
Governing Law: These Terms and the rights and obligations of the parties hereto shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflicts of laws provisions.
Disputes: Any dispute arising from these Terms shall be resolved through mediation. If the dispute cannot be resolved through mediation, then the dispute will be resolved through binding arbitration conducted in accordance with the rules of the American Arbitration Association.
Legal costs: In the event that any party institutes any legal suit, action, or proceeding, including arbitration, against the other party arising out of or relating to the Terms, the prevailing party in the suit, action, or proceeding shall be entitled to receive, in addition to all other damages to which it may be entitled, the costs incurred by such party in conducting the suit, action, or proceeding, including reasonable attorneys’ fees, expenses and court costs.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable in whole or in part, the remaining provisions shall not be affected and shall continue to be valid, legal and enforceable as though the invalid, illegal or unenforceable part had not been included in these Terms.
Change in Terms: These Terms will remain in full force and effect while you are a member of Stoutridge Select and while using our website, reservation system, online shopping cart or other services, and only Stoutridge may, at its sole discretion, modify the Terms or add or delete any of the Membership rules, conditions, benefits, or rewards, in whole or in part. Stoutridge may make any such changes at any time, with or without notice.
